Reference is made to the announcement on 14 August 2018 from NRC Group ASA ("NRC
Group" or the "Company") regarding the agreement for NRC Group's acquisition of
NSS Holding AS ("NSS").
NRC Norge AS, a wholly owned subsidiary of NRC Group, has today completed the
acquisition of NSS.
In connection with the acquisition, the board of directors of the Company has
resolved to issue 850,745 new shares in the Company at a price per share of NOK
66.10. The new shares are issued as partial consideration to the seller of NSS
pursuant to an authorization granted by the Company's extraordinary general
meeting on 19 April 2018.
The Company's new share capital following the resolution is NOK 43,178,593
divided on 43,178,593 shares, each with a nominal value of NOK 1. The share
capital increase is subject to registration with the Norwegian Register of
Business Enterprises.
