Today, necessary third party approvals have been obtained for mergers between KGL Prosjekt 1 AS and KGL Prosjekt 2 AS (as transferring entities) and Middelborg Invest AS (as surviving entity). These three companies are all wholly owned subsidiaries (directly or indirectly) by Middelborg AS. Upon completion of the mergers (pending registration in the Central Register of Business Enterprises), Middelborg Invest AS will become owner of 4,407,033 shares and forward contracts on 975,000 shares in NRC Group ASA. As Middelborg Invest AS holds no shares or derivatives in NRC Group ASA today, the total shareholding will be 4,407,033 shares and forward contracts on 975,000 shares, corresponding to in total 12.7% of the outstanding votes and shares (of which the shares comprised by the forward contracts represents 2.3%). The aggregate indirect holding of Middelborg AS (as parent company) will remain unchanged. This notification is made with reference to Section 4-3 of the Norwegian Securities Trading Act.
