On 25 May 2016, Charlotte Holding AS entered into a forward contract to purchase 500,000 shares in NRC Group ASA at a price of NOK 39.71 per share. The term of the forward contract expires on 21 November 2016. At the same time, Charlotte Holding AS sold 500,000 shares in NRC Group ASA to the counterparty in the forward contract, at a price of NOK 39 per share. Charlotte Holding AS is wholly owned by Øivind Horpestad, who is the CEO of NRC Group ASA. Following the sale, Charlotte Holding AS owns 1,928,008 shares in NRC Group ASA, representing approximately 5.46% of the outstanding shares and votes in the company. Inclusive of the shares comprised by the forward contract, Charlotte Holding AS' number of shares and votes are unchanged.
